Investment Strategy

Antares will acquire minority holdings in MFIs.  As a passive investor, it will rely on the supervision and governance of like-minded investors.  A typical investment in an eligible institution could consist of a minority ownership interest representing 3-15% of the MFIs’ capital.  Nonetheless, the Fund is structured to be sufficiently flexible to be able to purchase higher stakes for those special situations in which it is deemed appropriate.  Investments typically will be held between 1 and 3 years, although the fund may elect to create portfolios of assets to he held longer for the purpose of selling participations.  Additionally, it is expected that most of the investments will be made in local currency.

The Fund is structured to act in a quick and flexible manner in order to respond to a market opportunity and establish a strategy custom made to each potential investee.  Antares is conceived to invest in any capital or quasi-capital instrument and can tailor a package to suit the particular needs of each situation, with the overriding objective to seek an equity-based return on investment.

Antares also expects to be active to purchasing shares that could be used to implement ESOPs or other staff and management incentive programs in eligible MFIs.
Omtrix, as the Fund Manager, is responsible for identifying, structuring and carrying out the due diligence of new investments.  It will also be responsible for identifying potential buyers and conducting negotiations for a potential sale of any of the portfolio’s investments.

All investment and divestment proposals must be presented by the Fund Manager to Antares’ Board for approval.
